SOFI VISIO LLC, EDRPOU code 46391230, represented by its Director, Viktoriia Dmytrivna Maltseva, acting on the basis of the Articles of Association (hereinafter, the "Organiser"), hereby offers to an unlimited number of individuals and legal entities meeting the established requirements to enter into this Public Offer Agreement (hereinafter, the "Agreement") on the terms set out below.

1. GENERAL PROVISIONS AND ELIGIBILITY

1.1. The Organiser holds an international festival of audiovisual works created using artificial intelligence, generative AI, AI-assisted technologies and/or traditional filmmaking methods combined with AI (hereinafter, the "Festival"). The purpose of the Festival is to showcase, promote and support contemporary AI cinema, digital art, experimental audiovisual forms and new filmmaking technologies. This Agreement governs the submission of works, participation, selection, screenings, online streaming, promotion, awards, processing of personal data, liability and related matters.

1.2. Only persons who have reached 18 years of age at the time of submission may apply. An Applicant submitting an application on their own behalf or on behalf of a Team warrants that they have reached 18 years of age. The Organiser may request proof of age and, in the event of non-compliance with this requirement, reject the application, terminate participation, disqualify the Work and/or revoke an award without refund of the registration fee, except where otherwise expressly provided by the laws of Ukraine.

1.3. Participation is open to individuals and legal entities, filmmakers and teams from around the world, except persons whose participation is prohibited or restricted by applicable law, sanctions or other mandatory requirements. A person may not participate if they are a citizen or resident of, or are located in:

a) the Russian Federation; b) the Republic of Belarus; c) the Islamic Republic of Iran; d) the Democratic People's Republic of Korea (North Korea); e) the Syrian Arab Republic; f) the Republic of Cuba; g) the temporarily occupied territories of Ukraine as defined by the laws of Ukraine, including the Autonomous Republic of Crimea, the city of Sevastopol, the temporarily occupied territories of Donetsk and Luhansk oblasts, and the territories self-proclaimed as the "Donetsk People's Republic" or the "Luhansk People's Republic"; or h) any other state, territory or jurisdiction where participation is prohibited or restricted.

1.4. These restrictions also apply to persons subject to personal sanctions or other restrictive measures. The Organiser may reject an application or terminate participation if it reasonably believes that such participation may cause it to breach the laws of Ukraine, sanctions restrictions, international payment rules or other mandatory requirements.

2. DEFINITIONS

2.1. In this Agreement:

"Festival" means the international film festival organised by SOFI VISIO LLC; "Work" or "Film" means an audiovisual work submitted for participation in the Festival; "Applicant" means the person who completes and submits the application; "Participant" means the Applicant and, where applicable, the individual or legal entity on whose behalf the application is submitted and this Agreement is accepted; "Team" means two or more persons who jointly created and/or submit a Work; "Rights Holder" means a person who holds the necessary economic intellectual property rights or is duly authorised to dispose of them; "AI Disclosure" means information on the use of AI in the creation of the Work; "Online Streaming" means the transmission of the Work over the Internet in streaming mode; "Festival Programme" means competitive or non-competitive programmes, screenings, online presentations and related formats.

3. SUBMISSION OF WORKS

3.1. The Work must be between 1 and 10 minutes long inclusive, unless the rules of a particular category expressly provide otherwise. Fiction, documentary, animated and experimental audiovisual works, music videos, advertising and other audiovisual works consistent with the concept of the Festival are accepted. Works may be fully AI-generated, created with the use of AI, hybrid, or works in which AI was applied at particular stages of production.

3.2. The Work must comply with the requirements for technical quality, file format, concept and other requirements specified in the application form, the rules of the relevant category or on the official information resources of the Festival.

3.3. The Organiser may refuse admission to or disqualify a Work if it was submitted late; does not meet the requirements as to duration, technical parameters, format, concept or category; is unlawful; infringes the rights of third parties or there are reasonable grounds to believe that it does; is encumbered by claims, licences, liens or other restrictions incompatible with this Agreement; contains prohibited, defamatory, pornographic, discriminatory, hate-inciting or other unlawful material; promotes unlawful activity, violence or cruelty to animals; or contains malicious code or other means intended to interfere with the operation of information systems. The Participant's prior consent to such a decision is not required.

3.4. Applications and Works are accepted from 1 October to 1 November 2026 inclusive. The Organiser may decline to consider materials submitted outside this period.

4. REGISTRATION FEE AND REFUNDS

4.1. A separate registration fee of UAH 2,500 (two thousand five hundred hryvnias) is payable for each Work submitted, which, for the convenience of international participants, is approximately USD 56 or EUR 49. The base and determining amount is the amount in hryvnias; the amount in foreign currency depends on the exchange rate, the payment method and the terms of the payment system. The Participant bears bank fees, payment system fees, transfer and conversion costs that are beyond the Organiser's control.

4.2. The fee covers the administrative processing of the application, the technical receipt of the Work, its review and the organisation of participation. Payment of the fee does not guarantee selection, admission to the competition programme, nomination, reaching the final, winning or receiving an award.

4.3. Once the application has been accepted for review, the registration fee is non-refundable, except as expressly provided by the laws of Ukraine or this Agreement. The fee is not refunded if the Work is not selected, is withdrawn by the Participant or does not meet the Festival requirements, if inaccurate information has been provided, if third-party rights have been infringed, or in the event of disqualification through the fault of the Participant.

4.4. If the Festival is cancelled through the fault of the Organiser, the refund of registration fees shall be decided by the Organiser separately, taking into account the costs actually incurred, unless otherwise provided by the laws of Ukraine.

5. AI DISCLOSURE, RIGHTS, WARRANTIES AND LIABILITY

5.1. The Participant must truthfully disclose information about the use of AI. At the Organiser's request, the Participant shall provide the names of the relevant platforms, services, models and tools; information on the stages of production and the nature of AI use; details of AI-generated video, images, music, voices, characters or other synthetic elements; and information on the use of voice cloning, digital twins, deepfakes or similar technologies.

5.2. By submitting a Work, the Participant represents and warrants that they or their Team are the lawful owner or duly authorised Rights Holder of all rights necessary for the submission, screening, reproduction, online streaming, placement, archiving and promotion of the Work, and for granting the Organiser the rights under this Agreement.

5.3. The Participant shall, at their own expense, obtain all necessary permissions, consents, releases, licences and other lawful grounds in respect of each component of the Work, including music, recordings, performances, video, photographs, graphics, texts, scripts, characters, works of art, trademarks, software, names, likenesses, voices and personal data. The Participant warrants that the Work and all its components are original or used on lawful grounds; do not infringe intellectual property rights, moral rights, contractual rights, rights to privacy, publicity, image, name, voice or performance, or other rights of third parties; are not encumbered by restrictions preventing permitted use; do not contain the unlawful or harmful content referred to in clause 3.3; and comply with the laws of Ukraine and other applicable law, including the laws of the place where the Work was created or submitted.

5.4. The Participant is responsible for all components created or provided by them, Team members, contractors, third parties or AI services. The use of AI, generative models, voice cloning, digital twins, deepfakes or other technologies does not reduce such responsibility and does not release the Participant from compliance with licence terms, copyright and related rights, rights to privacy, image and voice, trademark rights, contractual requirements, personal data legislation and other legal requirements.

5.5. The use of the Work in accordance with this Agreement shall not require the Organiser to obtain additional permissions from third parties or to pay royalties, licence fees, compensation or other remuneration, unless the Organiser has expressly agreed otherwise. At the Organiser's request, the Participant shall promptly provide evidence of authorship, authority, permissions, written consents and licences. Failure to provide such evidence, or reasonable doubts as to lawfulness, constitute grounds for refusal, suspension of use or disqualification.

5.6. The Organiser has the right, but not the obligation, to verify rights, lawfulness, technical matters or the existence of necessary permissions. Admission, screening, online streaming, promotion or the granting of an award do not constitute confirmation of the lawfulness of the Work or of the ownership of rights and do not release the Participant from liability. The Organiser does not acquire authorship, ownership or exclusive economic intellectual property rights, except for the licence expressly granted by this Agreement.

5.7. To the extent permitted by law, the Participant undertakes, at their own expense, to defend, indemnify and hold harmless the Organiser against any claims, proceedings, losses, damages, fines, compensation, court costs and documented expenses arising in connection with the Work, its permitted use, acts or omissions of the Participant, false or incomplete information or AI Disclosure, the absence of necessary rights or permissions, or breach of this Agreement. Reimbursable expenses include reasonable costs of legal assistance, experts, translation, technical specialists, dispute settlement, removal of materials and defence directly related to the relevant matter. At the Organiser's request, the Participant shall provide evidence and reasonable assistance in settling any claim.

5.8. Upon receipt of a claim, or where there are reasonable indications of infringement, the Organiser may immediately suspend or terminate the screening, online streaming, placement, archiving or promotion of the Work. The Participant's warranties, liability and indemnification obligations survive the end of the Festival and the withdrawal, removal or disqualification of the Work.

6. FESTIVAL AND PROMOTION LICENCE

6.1. By accepting this Agreement and submitting a Work, the Participant grants the Organiser a non-exclusive, royalty-free, worldwide licence solely for the purposes of holding, organising, covering, archiving and promoting the Festival.

6.2. The licence grants the Organiser the right to:

a) reproduce, publicly display and stream the Work online; b) place and display the Work on the official digital resources of the Festival and include it in competitive or non-competitive programmes; c) make technical copies of, format or convert the Work to the extent necessary for its display on various platforms, without altering its content; d) keep an archival copy and include information about the Work in Festival catalogues; and e) use the title, poster, key visual, trailer, teaser, individual frames and short excerpts to promote the Festival.

6.3. The licence does not transfer ownership, authorship or exclusive rights to the Organiser. Without separate consent, the Organiser may not sell the Work as a standalone commercial product, transfer exclusive rights to it or grant a third party a standalone commercial licence.

6.4. After the Festival ends, the Organiser may select the best Works, as well as winning or distinguished Works, for public placement solely for the purpose of promoting the Festival, the Works, their authors and AI cinema, on the following resources: https://www.nothabsburgs.com/online-festival and https://platform.nothabsburgs.com. The duration of such placement is determined by the Organiser. Without separate written consent, the Organiser may not place full versions of such Works on other websites, platforms, social networks, channels, groups, media outlets or other digital resources, nor sell, transfer or independently license them.

6.5. Without additional remuneration, the Organiser may use, for the information, advertising and promotional purposes of the Festival, the title of the Work, its poster, key visual, individual frames, short excerpts, trailer, teaser, synopsis and description; the name, pseudonym and photograph of the author, director, producer or Applicant as provided; information about the Team; and information about participation or awards. Such materials may be placed on the Festival's websites and digital platforms, social networks, catalogues, press releases, advertising materials, presentations and other Festival communication channels. The full Work may not be used as a standalone advertising or commercial product outside the Festival's activities without separate consent.

7. SELECTION, AWARDS, DISQUALIFICATION AND WITHDRAWAL OF THE WORK

7.1. Works may undergo technical, organisational and competitive selection. The decision on admission and inclusion in the relevant programme is made by the Organiser and/or the jury. Criteria may include composition, coherence and quality of storytelling, artistic expression, originality, creativity, mastery in the use of AI, and relevance to the category or theme of the Festival. The Organiser may change the composition of the jury where necessary. The jury's decisions are final within the competition procedure, subject to applicable law and this Agreement.

7.2. The Festival may confer main and special awards. In the case of an individual submission, the prize, certificate, cash award or other award is presented and/or paid to the Applicant. In the case of a Team submission, the award is presented or paid to the Applicant authorised to act on the Team's behalf. The distribution of the award among Team members is their own responsibility, and the Organiser is not liable for any related disputes.

7.3. The presentation and/or payment of awards is planned to take place during the Festival Gala Evening or online broadcast. The Organiser will announce the date, time and format and may change them for objective organisational, technical or banking reasons. Winners must provide accurate identification, tax, payment and banking details in a timely manner; payment may be postponed until any deficiencies are remedied.

7.4. The winner shall independently pay all taxes, levies, customs duties, bank fees, payment system fees, conversion costs and other financial obligations related to receiving the award, unless otherwise provided by mandatory provisions of law. If the Organiser is obliged to withhold and remit taxes or other payments, it may deduct them from the award, as a result of which the amount actually received may be less than the amount announced.

7.5. The Organiser may disqualify a Work or Participant at any stage, including after the announcement of results or the presentation of an award, in the event of: breach of this Agreement or the Festival rules; provision of false, incomplete or misleading information or AI Disclosure; plagiarism; unlawful use of materials or absence of necessary rights; non-compliance with requirements; manipulation; or any other material breach. Prohibited manipulation includes bribery, provision of undue advantage, pressure, threats, blackmail, deception, collusion regarding results, interference with the work of the jury, disclosure of confidential information, and the use of bots, fake accounts or automated means of manipulating voting or evaluation.

7.6. Without further approval, the Organiser may reject or disqualify a Work or Participant; remove the Work from the programme or a digital resource; cease screening, online streaming, placement, archiving or promotion; annul voting results; revoke nominee or winner status; revoke an award; and, to the extent permitted by the laws of Ukraine, demand the return of an award already received. The Organiser may also refuse the Participant or any associated Team further participation, apply such measures regardless of the impact of the breach on the results, and refer the matter to the competent authorities where there are signs of an offence.

7.7. The Organiser may immediately terminate participation or the use of the Work if its continuation may violate the law or third-party rights or create a material legal or other risk. In the event of withdrawal, removal or disqualification, registration fees and expenses are not refunded. Before official inclusion in the programme, a Work may be withdrawn by written notice; after inclusion, withdrawal is permitted only for good reason and with the Organiser's consent. Withdrawal, removal or disqualification does not affect liability for prior breaches or obligations which by their nature are intended to survive.

8. PERSONAL DATA

8.1. By submitting an application, the Participant consents to the collection, processing, use and storage of personal data in accordance with the laws of Ukraine and the Organiser's Privacy Policy for the purposes of registration, identification, verification of age and eligibility, verification of sanctions restrictions and place of residence or location, review of the application, communication, administration of the Festival, determination and announcement of winners, payment of awards, compliance with tax and accounting requirements, performance of this Agreement, and protection of the rights and legitimate interests of the Organiser.

8.2. The Organiser may request documents, personal data and payment details reasonably necessary for these purposes. The Participant must provide accurate, complete and up-to-date information and, on request, confirm their age, identity, citizenship, place of residence or location and eligibility. Provision of inaccurate or incomplete information may constitute grounds for refusal of participation or disqualification.

8.3. For the Festival's information, advertising and promotional purposes, the Organiser may publicly disclose the Participant's name or pseudonym; the title of the Work and the name of the Team; the poster, synopsis and country of origin; selection status; and, in the case of an award, the name of the award and the Festival results, on official websites, platforms, social networks, media, press releases and other Festival resources.

8.4. Personal data and submitted documents may be stored for the period necessary to hold the Festival, perform this Agreement, comply with tax, accounting and other legal requirements, and protect the rights and legitimate interests of the Organiser, using means permitted by applicable law.

9. ELECTRONIC ACCEPTANCE

9.1. This Agreement is a public offer published on the official website of the Festival and/or the Organiser. The Participant fully and unconditionally accepts it by performing any action confirming the intention to participate, including submitting an application, confirming consent, uploading the Work or providing access to it, and/or paying the registration fee. The version of the Agreement in force at the time of acceptance applies, together with the published rules and requirements of the Festival.

9.2. By accepting the Agreement, the Participant confirms that they have read the said documents, understood them and agreed to comply with them, and is responsible for the accuracy of the information provided and for the lawful use of their email, account, payment instruments and other electronic means.

9.3. To the extent permitted by law, electronic applications, correspondence, website and information system data, registration logs, upload data, technical records and payment confirmations may be used as evidence of the fact, content and time of actions performed by the Participant. The Agreement is deemed concluded in electronic form and becomes binding from the moment of acceptance.

10. LIABILITY OF THE ORGANISER AND FORCE MAJEURE

10.1. The Organiser makes reasonable efforts within its organisational and technical capabilities but does not guarantee the uninterrupted, error-free or constantly available operation of the Festival's websites, systems or platforms.

10.2. The Organiser is not liable for failures or unavailability of third-party websites, hosting, payment systems, social networks, video platforms, email or other services unless caused by its fault, nor for cyberattacks, DDoS attacks, unauthorised access, hacking, malware, damage to or loss of data and similar incidents, except where caused by the intentional acts or proven fault of the Organiser. Where necessary, the Organiser may suspend the operation of services, screenings or the acceptance of applications, and reasonably change the technical procedure, deadlines, format, programme or dates.

10.3. A Party is released from liability for failure to perform its obligations, to the extent provided by the laws of Ukraine, if such failure is caused by circumstances beyond its reasonable control, including hostilities, acts of terrorism, large-scale cyberattacks, system failures, power or communication outages, natural disasters, epidemics, pandemics or decisions of public authorities. If such circumstances materially prevent the holding of the Festival, the Organiser may change the dates, format, programme or procedure, or postpone individual events, without reimbursing the Participants' expenses, unless otherwise provided by law.

10.4. The Participant is solely responsible for creating and keeping backup copies of the Work, account data, passwords and other materials necessary for participation, except where their loss is caused by the proven fault of the Organiser.

11. TERM, GOVERNING LAW AND FINAL PROVISIONS

11.1. This Agreement enters into force upon acceptance. The rights to screen, stream online, promote and otherwise use the Work are valid for the periods established by this Agreement. Warranties, liability, indemnification obligations, confidentiality and other obligations which by their nature are intended to survive remain in force after the end of the Festival or the termination of participation.

11.2. The Organiser may amend this Agreement by publishing a new version. The version accepted by the Participant applies to a Work already submitted, unless the Parties have agreed otherwise or the law provides otherwise. A new version has no retroactive effect on rights already acquired by the Participant, unless otherwise agreed by the Parties or provided by law.

11.3. This Agreement is governed by the laws of Ukraine. The Parties shall first seek to settle any dispute in good faith through negotiations and the exchange of written notices; any unresolved dispute shall be referred to a competent court. A foreign Participant retains the rights and remedies which they cannot waive under the mandatory provisions of applicable law.

11.4. The invalidity, illegality or unenforceability of any provision shall not affect the validity and enforceability of the remaining provisions of this Agreement.

11.5. The application form, technical requirements, category rules, Privacy Policy and documents expressly referred to in this Agreement form part of the participation procedure. In the event of any conflict between them and this Agreement, the provisions of this Agreement prevail with respect to rights, obligations, liability, licences and other legal matters, unless expressly provided otherwise herein.

11.6. An Applicant submitting an application on behalf of a Team confirms that they have authority to act on the Team's behalf and is responsible for the accuracy of such confirmation.

11.7. This Agreement is drawn up in Ukrainian and English and may be translated into other languages. In the event of any discrepancy between the language versions, the Ukrainian version shall prevail.
